Good Plumb — Common client agreement
Version 2026-10-17
1. Who agrees, and what this covers
This agreement is between Good Plumb (“we”) and the organisation identified in the acceptance record (“you”). Each accepts through a representative authorised to bind it. The acceptance record identifies this exact released version and effective date, your organisation, each party’s authorised representative and notice contact, and their written acceptance. Our notice contact is hello@goodplumb.ai. We may transfer this arrangement to an identified successor carrying on the service, on written notice before the transfer, if it assumes our obligations in writing and the transfer is legally effective without reducing your rights. You may stop under section 3. The original provider is not released from its obligations unless you separately agree to that release; naming or forming a new entity alone changes nothing.
2. The service and its limits
Our soft launch runs through the end of 2026 with invited customers, pilots and feedback. Our beta is planned for January–March 2027, with selective participation and hands-on service. These stages are for low-risk work. Please do not submit high-risk data or ask us to undertake risky actions as part of ordinary pilot or beta work. If your project needs either, we first assess that request and establish the appropriate protections before proceeding.
We help your organisation explore possibilities, test ideas, shape an AI project, build it and keep it running. The approved project directive guides the work. It describes what we are trying to achieve; a goal, hypothesis, estimate or intended benefit is not by itself a guarantee of feasibility or success. We report honestly about findings and uncertainty, tell you if we are not the best fit and bring you relevant new possibilities.
An experiment may yield useful learning or show that an idea should be abandoned. We do not guarantee accuracy, uninterrupted availability, fitness for a particular purpose, satisfaction, commercial benefit or achievement of a hoped-for result. Nor do we claim every unsuccessful experiment has value. This does not excuse work we actually undertake, misrepresentation or breach of the rights and protections below, or remove rights that law does not permit us to exclude.
You decide the purposes for which you use the service and its outputs and the uses you authorise, including public deployment. We explain known material limitations relevant to those uses. Each party is responsible for the decisions and activities it controls; neither may treat uncertain output as a sufficient basis for a decision affecting safety, legal rights or entitlements without appropriate verification and safeguards. This does not transfer responsibility for our work or operation of a public-facing service to you.
We may change models, providers, technology, features and operating methods. We remain responsible for our obligations here. A change does not authorise silently abandoning an agreed project or weakening your rights. We explain a change that materially affects the service you receive and arrange its continuation or orderly exit with you. Legally required notices, consent and processing agreements still apply.
3. Starting, paying and stopping
Project identity, activities, dates and commercial particulars can be confirmed in ordinary written records by authorised representatives; a separate SOW is not required. Such records do not silently vary these legal terms or turn aspirations into guarantees. Project records describe the service undertaken under these common terms; they do not add outcome warranties or change legal risk allocations. We do not relabel omitted agreed work as exploration after the fact. An invoice, purchase order or client policy alone does not change these terms.
Before a first charge, we show you the work or findings on which we propose to charge, including useful learning where relevant, and confirm the charging arrangement with you. A charge requires an agreed basis, amount or calculation, currency and payment date, confirmed in writing outside the product. That confirmation must state how the charge is earned if work stops. This is not a promise of satisfaction or a successful result. Silence, continued exploration or an unsuccessful experiment alone does not create a payment obligation. Agreed charges are for the agreed service and may include exploration and learning; they are not automatically conditional on achieving a hoped-for outcome.
During beta in January–March 2027, we confirm that you are satisfied with the service being charged for before charging you. We will not charge an unsatisfied customer. This beta rule takes precedence over the other charging provisions here; it does not guarantee that an experiment or project will succeed.
You may stop further work by written notice. We may also end service by written notice, explaining the reason and arranging an orderly handover. There is no standard minimum term, cancellation fee or fixed notice period in this agreement. Stopping does not erase agreed charges for service already supplied or third-party costs you expressly authorised. We do not accrue new service charges after stopping; any optional transition work and charge must be agreed. Earned service charges are calculated for service actually supplied up to stopping on the agreed charging basis, proportionately for elapsed service if time-based; a prepayment is not earned merely because received. We return the unearned balance within a reasonable time after stopping, with an explanation of the calculation; this is not a satisfaction refund for completed work. Stopping ends our continuing operation of the service as part of the orderly handover; it does not promise free indefinite hosting or operation. We explain shutdown and continuity steps so that a public-facing service is not silently left running without an operator. An unpaid or disputed charge does not let us withhold your information or work.
If something is wrong, tell us so we can understand it and consider a practical resolution. Correction, further work or another commercial remedy is assessed case by case; this is not a standing promise of free reperformance, an indefinite correction service or a refund for every disappointment. It does not exclude remedies otherwise available under applicable law.
4. Your information and work
Your knowledge, data and supplied materials remain yours. You authorise us to access, copy, process and adapt them as needed to provide and secure your service, including through providers supporting it. You must have authority for the materials and access you provide. We do not acquire ownership of them.
We hereby assign to you, as created, the rights we hold in work created specifically for your project, including its project knowledge, records, code and other outputs. Our general tools and materials developed independently of your project remain ours. To the extent they are included in your work, we give you a perpetual, worldwide, irrevocable, royalty-free, nonexclusive licence to use, modify and share them as needed to use, maintain and transfer that work, including through a replacement provider. Payment is not a condition of this assignment or licence.
Third-party materials and services remain subject to their applicable rights and terms. We identify material licence, ongoing-cost and transfer restrictions before you rely on them, and obtain the rights needed for our intended use and the rights we offer you. We cannot assign rights we do not hold or promise that AI-generated material is exclusive or protected by copyright. This limitation does not permit us to label your project work as our general tools or avoid the rights promised here.
We do not use your private materials or project information to train general-purpose models, supply another client's project or publish a testimonial without separate permission. We may use general methods, skills and non-identifiable know-how developed while working, and suggestions voluntarily given to improve the service. This does not reserve ownership of project-specific code or records assigned to you, or permit disclosure of confidential information, reuse of your private project content, or use restricted by applicable law. We do not permit providers supporting your service to make the prohibited uses above. Publication within a public-serving project follows its authorised purpose; it is not permission to publish every underlying source.
5. Confidentiality and personal information
Each party protects the other's information reasonably understood to be confidential, uses it only for this relationship and restricts disclosure to people and service providers who need it for that purpose and are bound to protect it. Each remains responsible for the recipients it uses. Information independently developed, already lawfully known without restriction, lawfully received without restriction or made public without breach is not confidential. Required legal disclosure is limited to what is required, with advance notice when lawful.
We use reasonable safeguards for client information. If we become aware of unauthorised access to or disclosure of your confidential information in our service, we notify you without undue delay, share what we know and relevant updates, and cooperate on containment and any required notifications; applicable legal deadlines still apply. Our privacy and collection notices explain the actual processing, recipients, retention and choices. They are disclosures, not a power to amend this agreement or expand permission to use private materials. We do not add undisclosed purposes simply by updating a notice. Where applicable law requires a processing agreement, notices, consent or additional safeguards, those must be established for the actual processing. Routine provider changes do not require bespoke legal negotiation unless an applicable obligation requires it.
6. Leaving
If you leave, you take your knowledge and data with you. Within a reasonable time, we provide your supplied materials, project knowledge and records we hold, and your project work, in usable formats and explain remaining account, licence or access steps so you or another provider can continue it. This includes your information held within our working records; general tools, other clients’ information and security-sensitive details are not themselves handed over. We separate or redact those details rather than withhold your project information. We do not withhold these for disputed payment. We cooperate with an orderly transfer; this does not guarantee transfer of a third-party account or rights that provider will not permit.
Disclosed expired audio cannot be recovered. Retained transcripts and project records are separate. Copies that must remain for legal records or protected recovery remain subject to confidentiality and applicable retention limits. We explain those copies and handle deletion requests across the relevant records and providers. We explain the handover and deletion steps and expected timing, including any retained copies.
Ownership, continuing licences, confidentiality and retained-copy protections, handover and accrued payment obligations continue after service ends.
7. Disagreements and changes to terms
Raise a concern with the contacts in the acceptance record so the parties can try to resolve it. This does not require arbitration, bar urgent relief, postpone a legal deadline or waive access to a competent court. Applicable law determines remedies; this agreement adds no indemnity, damages ceiling, exclusive remedy or shortened claim period.
This released agreement and the accepted factual/commercial particulars record the arrangement. An amendment requires clear written acceptance by authorised representatives of both parties. Website or notice updates, project edits, purchase orders and later invoices alone do not amend it. Ordinary implementation changes allowed by section 2 are not amendments.
Neither party may make commitments in the other's name. No provision permits conduct or removes rights that applicable law forbids. A provision that cannot lawfully be enforced does not, by itself, invalidate the remaining agreement.
